Summative Essay Title
Answer ONE of the following questions:
1. UK company law quite rightly requires those running a company to put the interests of its
shareholders first. Other stakeholders are fully protected by whatever contracts they enter
into with the company.
Discuss.
OR
2. Minority shareholders are in a very vulnerable position, and UK company law does very
little to protect them.
Discuss.
OR
3. A company’s creditors are in a very vulnerable position. For ‘involuntary creditors’, UK law
now effectively makes shareholders personally liable. But it still does too little to protect those
who agree to lend to a company.
